These Terms of Use ("Terms") govern your access to and use of the website located at www.skylandgroup.com.hk (the "Website") and all related services, including Skyland International Technology Limited's AI-powered software applications and platforms mainly for the insurance and construction industries incorporating RFID, OCR, Speech-to-Text, Text-to-Speech, and Speech-to-Action technologies, delivered as off-the-shelf products, tailor-made solutions, cloud-based systems, or Software-as-a-Service (SaaS) (collectively, the "Services"), operated by Skyland International Technology Limited ("Skyland", "we", "us", or "our").

By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, you must immediately cease all use.

We may update these Terms at any time. The latest version will be posted on the Website with the updated date. Your continued use after changes constitutes acceptance of the revised Terms.

1. Eligibility and Permitted Use

You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to agree to these Terms.

You may only use the Services for lawful purposes and in compliance with all applicable laws. Prohibited activities include, but are not limited to:

• Using the AI features to process illegal, defamatory, or infringing content
• Reverse-engineering, decompiling, or extracting source code from any Skyland software or AI models
• Interfering with or disrupting the Services or infrastructure
• Using the Services to create competing products

You are responsible for all activity under your account and for keeping your credentials confidential.

2. User Content

You retain ownership of all data you upload or generate ("User Content"). By using the Services, you grant Skyland a worldwide, non-exclusive, royalty-free, perpetual license to process, store, and use your User Content solely as necessary to provide the Services and improve our AI technologies.

You warrant that your User Content does not violate third-party rights or applicable laws.

3. Intellectual Property

All Skyland software, AI models, algorithms, documentation, and materials are the exclusive property of Skyland or its licensors. You receive only a limited, revocable, non-transferable license to use the Services in accordance with these Terms.

4. Third-Party Integrations

The Services may integrate with third-party systems. Skyland is not responsible for such third-party services; your use is governed by their terms.

5. Service Availability and Disclaimer

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, including accuracy of AI outputs, merchantability, or fitness for a particular purpose.

6. Limitation of Liability

To the fullest extent permitted by law, Skyland shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees you paid in the twelve (12) months preceding the claim.

7. Indemnification

You agree to indemnify and hold Skyland harmless from any claims arising from your User Content, your use of the Services, or your breach of these Terms.

8. Termination

We may suspend or terminate your access at any time, with or without cause. Upon termination, your right to use the Services ends immediately.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, available at www.skylandgroup.com.hk/privacy.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any disputes shall be submitted exclusively to the courts of Hong Kong.
